These Terms govern your use of addsum.in and your engagement of Addsum for digital marketing, web design, content, or strategy services. Please read them before using this website or engaging us.
- These Terms apply both to browsing our website and to engaging us for paid services.
- The exact scope, deliverables and price for your project live in a separate signed proposal — not in this document.
- We don’t guarantee specific rankings, conversions, or follower counts — results depend on factors no agency fully controls.
- Ownership of finished deliverables transfers to you once payment for them is complete
Acceptance of these terms
By accessing or using addsum.in, or by engaging Addsum for any service, you agree to be bound by these Terms & Conditions. If you don’t agree, please don’t use this website or our services.
Where you accept a separate signed proposal, quotation, or Scope of Work (“SOW”) for paid services, that document is read together with these Terms, and together they form the entire agreement between you and Addsum for that engagement.
- “Addsum”, “we”, “us”, “our” — refers to Addsum, a [sole proprietorship company based in Palakkad, Kerala, India.
- “Client”, “you”, “your” — the individual or business engaging Addsum for Services.
- “Services” — the digital marketing, web design, content or strategy services described in § 3 and set out in the applicable proposal or SOW.
- “Deliverables” — the specific outputs (campaigns, websites, content, reports) produced under an engagement.
- “Confidential Information” — non-public business, technical or financial information shared by either party during an engagement.
Our services
Addsum provides search engine optimisation, social media marketing, Google Ads management, web design, content marketing and marketing strategy services. The specific scope, deliverables, timeline and pricing for any engagement are set out separately in a signed proposal or Scope of Work, and these Terms apply in addition to, not instead of, that document.
We may engage qualified subcontractors or freelancers to deliver part of the Services, while remaining responsible for the quality of work delivered to you.
Eligibility
To use this website or engage our Services, you must be at least 18 years old and, where you’re acting on behalf of a business, authorised to bind that business to these Terms.
Onboarding & client responsibilities
To deliver the Services on schedule, we’ll need you to support the engagement by:
- providing accurate brand information, content and assets, and confirming you hold the necessary rights to use them;
- granting timely access to accounts we need to deliver the Services — for example, your website, Google Ads, Meta Business Suite, or WhatsApp Business;
- reviewing and approving deliverables within the timeframe agreed in your proposal; and
- making payments in accordance with § 6.
Delays caused by missing approvals, assets or access may extend agreed timelines, and Addsum isn’t responsible for delays arising from this.
Fees, payment & invoicing
Fees for any engagement are set out in the applicable proposal or SOW. The following general terms apply unless your proposal states otherwise:
Intellectual property
Upon full payment for an engagement, ownership of the final Deliverables created specifically for you — for example, a completed website, designed creative, or written content — transfers to you. Addsum retains ownership of its own pre-existing tools, templates, frameworks and processes used to create those Deliverables, and you receive a licence to use them solely as part of the Deliverables.
Unless you ask us in writing not to, Addsum may showcase completed work — including before/after results, screenshots, and campaign outcomes — in our portfolio, website, case studies and marketing materials.
Third-party platforms & advertising accounts
Where we manage advertising or business accounts on platforms such as Google Ads, Meta, or WhatsApp Business on your behalf, ownership of those accounts remains with you, and our role is limited to managing them within the terms of that platform.
We aren’t responsible for actions taken by these platforms — including account suspension, policy changes, algorithm updates, or service outages — as these are outside Addsum’s control. You remain responsible for complying with each platform’s own terms of service.
No guarantee of results
Digital marketing outcomes — including search rankings, website traffic, advertising performance, conversions, and social media growth — depend on factors beyond Addsum’s control, including market competition, platform algorithm changes, and your industry’s conditions. We commit to delivering the agreed Services diligently and in line with current best practice, but we don’t guarantee specific rankings, return on investment, or growth figures.
Confidentiality
Each party agrees to keep the other’s non-public business, technical and financial information confidential, and to use it only for the purposes of the engagement. This obligation continues even after the engagement ends, except for information that becomes public through no fault of the receiving party, or that’s required to be disclosed by law.
Term & termination
An engagement runs for the term agreed in your proposal, or, for ongoing retainers, continues until either party gives 30 days’ written notice to terminate.
On termination, you’ll pay for Services delivered up to the termination date, and we’ll provide a handover of completed Deliverables and revoke our access to your accounts within a reasonable time. We may terminate or suspend an engagement immediately if payment remains overdue, or if you breach these Terms in a way that isn’t corrected within 7 days of being notified.
Limitation of liability
To the maximum extent permitted by law, Addsum’s total liability arising from any engagement is limited to the fees paid by you for the Services in the three months preceding the claim. Addsum isn’t liable for indirect, incidental or consequential losses, including loss of profit, business opportunity, or goodwill, even if we’ve been advised such losses are possible.
Indemnification
You agree to indemnify Addsum against any claim, loss or liability arising from content, assets or instructions you provide to us, including claims that such material infringes a third party’s intellectual property or other rights. Addsum agrees to indemnify you against claims arising directly from our own willful misconduct or gross negligence in delivering the Services.
Revisions & scope changes
Your proposal specifies the number of revision rounds included for each deliverable. Requests beyond this, or requests that fall outside the agreed Scope of Work, will be quoted and billed separately before we proceed.
Force majeure
Neither party is liable for delay or failure to perform caused by events beyond their reasonable control, including natural disasters, internet or power outages, government action, or platform-wide policy or technical changes by third parties such as Google or Meta.
Data protection
Personal data collected through this website or during an engagement is handled in accordance with our Privacy Policy. Where we process your customers’ or audience data on your behalf — for example, while running ad campaigns or managing a CRM — we do so strictly on your instructions, and you remain responsible for ensuring you have a lawful basis to share that data with us.
Dispute resolution
If a dispute arises, both parties will first attempt to resolve it through good-faith negotiation. If unresolved within 30 days, the dispute will be referred to arbitration under the Arbitration and Conciliation Act, 1996, with a sole arbitrator appointed by mutual agreement, seated in Palakkad, Kerala, and conducted in English.
Governing law & jurisdiction
These Terms are governed by the laws of India. Subject to § 17, courts at Palakkad, Kerala have exclusive jurisdiction over any matter arising from these Terms.
General provisions
Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions continue in full force.
These Terms, together with your signed proposal or SOW, form the entire agreement between you and Addsum, superseding any prior discussions on the same subject.
We may update these Terms from time to time. Continued use of our Services after an update constitutes acceptance of the revised Terms.
You may not assign your rights or obligations under these Terms without our written consent. Addsum may assign these Terms in connection with a merger, acquisition, or sale of assets.
